The Role

This is an excellent opportunity for a governance professional looking to take ownership of client relationships while contributing to the delivery of high-quality company secretarial and corporate governance services.

You will manage a portfolio of fund structures and corporate entities, work closely with boards and senior stakeholders, and support the development of junior team members. The role combines technical governance expertise, client interaction and leadership responsibilities within a collaborative and fast-paced environment.

Key Responsibilities

Client & Governance Management

  • Act as a key point of contact for clients, directors, regulators, administrators, legal advisors and other stakeholders.
  • Support boards and clients on corporate governance best practices.
  • Organise and coordinate Board, Shareholder and Committee meetings.
  • Draft and review board minutes, resolutions and governance documentation.
  • Maintain statutory records and corporate registers.
  • Support company incorporations and corporate lifecycle events.
  • Prepare and submit filings to relevant Luxembourg authorities and registers.
  • Assist with transaction execution and governance-related projects.

Leadership & Team Support


  • Mentor and support junior governance professionals.
  • Contribute to the delivery of high-quality company secretarial services.
  • Assist with the management of client relationships and governance mandates.
  • Support client onboarding and periodic review processes.
  • Assist with invoicing and administrative follow-up linked to client engagements.

Must-Have Requirements

  • Bachelor’s degree or equivalent higher education qualification.
  • Minimum 3 years of relevant experience in Corporate Governance, Company Secretarial or Corporate Services environments.
  • Strong experience supporting alternative investment funds and/or UCITS structures.
  • Excellent command of English.
  • Strong organisational and project management skills.
  • Ability to manage multiple priorities and stakeholder relationships.
  • Entrepreneurial mindset with a proactive and solution-oriented approach.
  • Comfortable interacting with senior executives, directors and board members.

Nice-to-Have

  • Corporate Governance or Company Secretarial professional qualification.
  • Additional European languages.
  • Experience within Management Companies, Fund Administrators, Corporate Service Providers or Asset Managers.
  • Knowledge of Luxembourg corporate and fund governance frameworks.
  • Experience supervising or mentoring junior colleagues.
